1. PARTIES
   Licensor: [Company legal name], [address]  ("Company")
   Licensee: [Buyer legal name], [address]    ("Buyer")
   Signatory for Company: [name, title] (must have authority to sign)

2. DEFINITIONS
   "Operating Record": the Company's working records, which may include email
   and team chat, shared drives and documents, estimates and job files, field
   photos, shop drawings and CAD files the Company produced, and the books
   (ledgers, invoices, job cost).
   "Licensed Data": the parts of the Operating Record listed in Schedule A.
   "Excluded Material": see Section 9.
   "Personal Information": names, emails, phone numbers, account numbers, and
   similar identifying details.

3. SCOPE
   Schedule A lists the systems and date ranges included, as approved by the
   Company in writing before any data is shared.

4. LICENSE GRANT AND PERMITTED USE
   Buyer may: [describe permitted use].
   Buyer may not: [describe restrictions, e.g. onward sharing or resale].

5. EXCLUSIVITY
   [Exclusive / Non-exclusive] for [material] during [period].

6. TERM
   Starts on [date] and runs for [length]. This is a license, not a sale:
   no equity, no debt.

7. FEES AND PAYMENT
   Fee: [amount]. Payable [net 30 / net 60] after the Licensed Data is
   approved, shared, and anonymized.

8. CONFIDENTIALITY AND PRIVACY
   Personal Information is removed before the Buyer receives any data.
   Neither party publicizes the agreement without the other's written consent.

9. OWNERSHIP AND CARVE-OUTS
   The Company keeps ownership of its files and the right to keep using them.
   Excluded Material: drawings the project owner still owns, and records the
   Company holds for its clients as their agent.

10. WARRANTIES
   Company: it owns or has the right to license the Licensed Data.
   Buyer: it will use the Licensed Data only as permitted in Section 4.

11. TERMINATION
   Grounds: [material breach, other].  Notice: [days].
   On termination: [return / deletion / continued-use terms for Licensed Data].

12. GENERAL
